These Terms of Service (“Terms”) govern your access to and use of a mobile application branded and licensed by an independently operated entity that provides audio streams, content, or related services through the app (“Stations”, each a “Station”).
The mobile application branded by a participating Station is referred to as the “Station App.” The Station App is built and operated by RadioActive Expectations LLC (“RadioActive,” “we,” “our,” or “us”) on behalf of participating Stations.
The Station App, together with any related websites and services, is collectively referred to as the “Service.”
In these Terms, “you,” “your,” or “user” refers to the individual who accesses or uses the Service.
These Terms are a binding legal agreement between you and RadioActive, including its Governing Law and Dispute Resolution provisions, which include an arbitration agreement. By creating an account or using our Service, you confirm that you accept these Terms. If you do not accept the Terms, you have no right to use (and may not use) the Service. These Terms, including the Dispute Resolution provisions, are available in the Station App settings under the “Legal” heading.
If you are younger than 18 years of age (a “Minor”) but are 13 years of age or older, you represent that you have reviewed the Terms with your parent or legal guardian and that you and your parent or guardian understand and consent to the Terms. If you are a parent or guardian permitting a Minor to use the Service, you agree to: (a) supervise the Minor’s use of the Services, (b) assume all risks associated with the Minor’s use of the Service, (c) assume any liability resulting from the Minor’s use of the Services, (d) ensure the accuracy and truthfulness of all information submitted by the Minor, and (e) assume responsibility and are bound by the Terms for the Minor’s access and use of the Services.
The Station App provides audio streaming, station-selected content, and community-related information made available through the app.
Content accessible through the Station App may be provided by the Station, by RadioActive, or by third parties, and may include content modules, features, or services that Stations choose to enable, license, or make available to users. Each Station is an independent operator and is primarily responsible for determining which content and features are made available through its Station App.
RadioActive provides the underlying technology and may also offer managed or commissioned content, including standardized content modules or custom content created at the request of a Station. Stations retain discretion over whether such content is included in their Station App. RadioActive does not control, endorse, or guarantee the accuracy, completeness, or appropriateness of Station-provided or third-party content.
Each Station is solely responsible for all content transmitted, displayed, or made available through its Station App, including audio programming, advertisements, promotions, contests, and user interactions.
RadioActive provides the technology platform used to deliver Station Apps but does not monitor, control, endorse, or review Station content prior to its distribution through the Platform and assumes no responsibility for such content.
Stations are also solely responsible for maintaining all licenses and permissions necessary to stream or distribute their audio programming and other content, including music licensing where applicable.
Stations are further responsible for the operation of promotions, contests, prizes, or sponsor offers conducted through the Station App, including prize fulfillment, compliance with applicable laws, and honoring offers made to listeners.
Each Station is solely responsible for the audio streams, programming, advertisements, promotions, and other content that it elects to broadcast or make available through the Station App. RadioActive provides the underlying technology platform used to deliver such content but does not create, control, or review Station programming.
Stations are responsible for ensuring that their content complies with applicable laws, licensing requirements, advertising regulations, and other legal obligations. RadioActive is not responsible for the legality, accuracy, or appropriateness of content provided by Stations or third parties.
Our Service may require Internet access to provide certain features to you. You acknowledge that access to the Internet may result in charges, depending on your agreement with your Internet Service Provider. RadioActive shall not be held responsible for any such charges, nor for the availability or speed of the Internet.
From time to time, Stations may subscribe to Optional Features to be included in the Station App (“Optional Features”). No in-app purchases using legal tender are ever used or expected to be used by users of the Service for any of the Optional Features. Stations may choose to enable or make Optional Features available to users. They may also choose to disable Optional Features at any time. At the discretion of the Stations, participation opportunities, promotions, or rewards may be offered:
The Service may include weather information, public safety alerts, or community updates sourced from third parties, Stations, or publicly available government data feeds. Such information is provided for convenience only. The Service is not intended to serve as a primary or official emergency notification system. Users should rely on official government agencies, emergency management authorities, and local public safety channels for critical or time-sensitive information. RadioActive does not guarantee the accuracy, completeness, or timeliness of emergency-related information displayed within the Service.
The Service does not require in-app purchases to access core functionality. Any future monetization features, if introduced, will be disclosed and implemented in accordance with applicable app store policies.
Some features of the Service may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You retain ownership of any user-generated content you submit through the Service, including text, audio recordings, or other materials. Users should submit only content they have the right to share. By submitting content through the Service, you grant RadioActive a non-exclusive, royalty-free license to host, store, process, transmit, and share such content with the applicable Station for the purpose of operating, delivering, and improving the Service, including moderating, displaying, and distributing such content within the Service.
RadioActive does not control how a Station may review, select, or use user-submitted content. Any use of such content by a Station is determined solely by the Station and may be subject to station-specific policies or permissions.
RadioActive works with a network of partners to provide you with useful content in our Service. These may include information, links, advertisements, or other content provided by third parties (“Third-Party Services”). The Service may include links to external websites or content displayed through embedded web views. We are not responsible for, and have no control over, any Third-Party Services, and we are not liable for any damages or losses that are caused by any Third-Party Services.
RadioActive and participating Stations may modify, suspend, or discontinue any part of the Service, including features, content modules, promotions, or functionality, at any time and without prior notice. Certain features or content within the Service may rely on Third-Party Services or publicly available data sources and may change, become unavailable, or be removed if such Third-Party Services modify their offerings, restrict access, or discontinue their services.
RadioActive is not obligated to continue providing any particular feature, content module, or functionality and reserves the right to change how the Service operates in order to improve performance, security, or user experience.
The Service, including software, design, text, graphics, audio, video, trademarks, and other content provided by RadioActive, is owned by or licensed to RadioActive and is protected by intellectual property laws. Except for rights expressly granted in these Terms, no rights are granted to you in the Service. You may not copy, reproduce, distribute, publicly display, or create derivative works from the Service except as permitted through normal use of the Station App.
You agree not to misuse the Service or attempt to interfere with its operation. You are responsible for activity conducted through accounts or devices under your control, and you agree to notify RadioActive promptly of unauthorized use of your account. You agree that:
RadioActive may suspend or terminate access to the Service, block devices or accounts, and take other reasonable measures in response to suspected misuse or interference. RadioActive reserves the right to pursue available legal remedies for damages caused by misuse of the Service.
RadioActive may suspend or terminate access to the Service if we reasonably believe it is necessary to protect the Service, comply with legal obligations, or enforce these Terms. RadioActive reserves the right to block accounts, devices, or network sources associated with misuse of the Service and to pursue available legal remedies for damages resulting from such misuse.
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.
To the maximum extent permitted by law, RadioActive shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use of the Service, including loss of data, service interruption, or inability to access content.
You agree to indemnify and hold harmless RadioActive Expectations LLC, its affiliates, officers, employees, contractors, and partners, from claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Service, violation of these Terms, or violation of applicable law.
These Terms are governed by the laws of the State of Florida and the Federal Arbitration Act, without regard to conflict-of-law principles. We strive to resolve any customer service issues before they escalate. However, if a dispute cannot be resolved through the mandatory informal dispute resolution process (which includes email and/or a telephone settlement conference, if requested), you agree that any unresolved dispute shall be resolved through binding individual arbitration, except for claims that may be brought in small claims court.
Any small claims action must be filed in the state or federal courts located in Hillsborough County, Florida, and you consent to the personal jurisdiction of such courts. Class actions, class arbitrations, and representative proceedings are not permitted.
In arbitration, a neutral decision maker (called an arbitrator) will hear both sides of a dispute and issue a binding decision. The arbitrator will apply the same law and may award the same individual remedies as a court. Arbitration procedures are typically more streamlined than court proceedings and may include reduced discovery and limited appellate review.
Arbitration may be conducted remotely by telephone, videoconference, or other remote means, unless the arbitrator determines that an in-person hearing is necessary. If the arbitration provisions of this section are found to be unenforceable, the class action waiver set forth in this section shall remain enforceable to the fullest extent permitted by law. If the arbitrator or court determines that a claim was brought in bad faith or for purposes of harassment, the prevailing party may recover reasonable attorneys’ fees and costs to the extent permitted by applicable law.
We may sometimes need to change these Terms, for example, to reflect changes in the law or changes to the Service itself. Any changes will be posted on our website and in the Station App settings under the “Legal” heading. We may also make Station App users aware of changes via in-app notification. If you do not agree to the changes, you must stop using the Service. By continuing to use our Service after the updated Terms become effective, you confirm that you understand and accept the updated Terms.
